UAE Company UBO Rules: Who to Declare and When to Update

Identify who must be declared as a UAE company's ultimate beneficial owner, trace indirect ownership and understand the records, update deadlines and bank KYC checks.

Global Structuring

A UAE company's shareholder list does not always identify the people who ultimately own or control it. A holding company may appear on the licence while individuals sit further up the ownership chain. The Ultimate Beneficial Owner (UBO) declaration is intended to make that underlying ownership and control visible.

For founders and directors, the practical task is to identify the right individuals, support the assessment with documents and keep the declaration current. It belongs in the company's operating routine from incorporation, rather than becoming a document prepared only when a bank asks.

Which UAE companies need to review their UBO obligations?

Article 3 of Cabinet Decision No. 109 of 2023 covers licensed or registered legal persons in the UAE, including commercial free zones. The decision contains exclusions for financial free zones and specified government-related categories. Being outside this decision does not mean being free of every ownership-disclosure requirement; check the regime applicable to the entity.

Ajman Free Zone's official UBO guidance explains that companies must maintain beneficial-owner and shareholder or partner records and provide the required information to their licensing or registration authority. A UBO is a natural person, so an intermediate holding company is not the end of the assessment.

Who qualifies: ownership, voting rights and other control

Under Article 5, the assessment includes individuals with 25% or more of capital or voting rights, held directly or indirectly. It also considers control through other means, such as the power to appoint or remove most directors.

The percentage test is not the whole assessment. Review voting arrangements and actual control alongside the shareholding chart. If the ownership investigation does not identify the relevant individual, the decision provides for examining control by other means, with a senior management official as the final fallback. Do not skip the investigation and simply name the manager.

A simple example of indirect ownership

Assume Holding Company owns 50% of Operating Company. Alice owns 60% of Holding Company and Ben owns the remaining 40%. Carla directly owns the other 50% of Operating Company. With ordinary proportional ownership, the calculation is:

IndividualOwnership calculationEconomic interest in Operating Company
Alice60% × 50%30% indirectly
Ben40% × 50%20% indirectly
CarlaDirect shareholding50% directly

Alice and Carla meet the ownership threshold in this illustration. Ben's economic interest is below it, but his voting or contractual control still needs review. Different share classes, joint arrangements or additional ownership paths can change the analysis. The calculation illustrates one layer of ownership; it does not replace the control assessment.

What information and supporting records should you prepare?

Article 8 requires the beneficial-owner register to include each person's name, nationality, birth details, address and passport or identity-document details. It also records the basis and date on which the person became a UBO and, when relevant, the date that status ended. The register must be created within 60 days of the entity coming into existence.

A useful working file brings together the ownership chart, shareholder records, constitutional documents and identity evidence. Keep the documents that explain control rights, including relevant voting agreements. Ask the registrar which copies, certifications and portal fields it requires.

Article 11 separately requires submission of the register data within 60 days of licensing and registration and the identification of a UAE-resident individual authorised to provide information to the registrar. These outer deadlines should not be treated as a reason to delay a filing required during setup.

When must UBO information be updated?

Two related duties deserve separate attention:

  • Under Article 8, update the company's beneficial-owner register within 15 days of becoming aware of a change.
  • Under Article 15, submit amendments or changes to the registrar within 15 days from the amendment or change.

Transfers, changes in voting rights or a new controlling arrangement can affect who must be recorded. Personal particulars may also need updating. Set an internal notification process so directors and advisers learn about changes promptly, then retain evidence of the revised register and the submission.

Updating the trade licence, notifying a bank and updating the UBO filing are distinct actions. Check each affected record instead of assuming one submission updates every system.

Why a UBO declaration does not replace the bank's KYC checks

The Central Bank's beneficial-ownership verification guidance requires licensed financial institutions to identify the relevant individuals and verify their identities using reliable information. Banks trace ownership through corporate layers and may examine interests below the usual 25% threshold where risk warrants it.

A filed declaration therefore does not end the bank's enquiries. The bank may request an ownership chart, identity records or additional evidence to understand who controls the customer. Its information request and the registrar's filing serve different processes.

Keep the same underlying facts consistent across both. If an ownership change occurs while a bank application is being reviewed, tell the bank and check the registrar's update requirements rather than continuing with an outdated structure.

Build an ownership review into company administration

Assign someone to maintain the ownership chart and track changes in shares, control rights and personal details. Before a restructuring, identify which records and filings will need amendment and who will make each submission. Keep acknowledgements with the company's corporate records.
