UAE Small Business Relief allows an eligible Resident Person to elect to be treated as having no taxable income for a qualifying tax period. The AED 3 million test concerns revenue, rather than profit, and covers previous relevant tax periods as well as the current one. The relief can reduce tax and reporting work, but it requires an election in the Corporate Tax return. It does not remove registration or record-keeping obligations.

Who qualifies for UAE Small Business Relief?

The FTA's Small Business Relief overview identifies Resident Persons, including eligible companies and natural persons, as potential claimants. Revenue must be no more than AED 3 million in the current and all previous relevant tax periods.

A Qualifying Free Zone Person cannot claim. Nor can a constituent company of a multinational group falling within the relevant country-by-country reporting definition, including the AED 3.15 billion consolidated group revenue threshold.

Free zone registration alone does not settle eligibility. A free zone company outside Qualifying Free Zone Person status may qualify if the other conditions are met. Review its actual tax treatment before comparing relief options.

Is the AED 3 million threshold based on revenue or profit?

The AED 3 million revenue threshold is not an allowance against net profit. A business with AED 3.2 million revenue cannot qualify merely because salaries, rent and other costs leave little profit.

The FTA's August 2023 relief guide explains the revenue calculation. Both UAE and foreign-source business income must be considered; VAT charged on supplies is excluded from revenue for this test.

Prepare a reconciliation from the accounting records to the figure reported. Explain unusual receipts, credit notes and differences between invoiced sales and bank deposits. Shareholder funding and customer receipts should not be treated as interchangeable without reviewing their accounting classification.

How can previous tax periods affect eligibility?

The Ministry of Finance’s 2023 decision announcement confirms that a lower-revenue year does not reset eligibility after an earlier relevant period exceeded AED 3 million. Keep a schedule covering every applicable Corporate Tax period, rather than checking only the latest accounts.

Illustrative revenue historyCurrent-period revenueRevenue test result
All earlier relevant periods at or below AED 3 millionAED 2.4 millionPasses, subject to the other conditions
All earlier relevant periods at or below AED 3 millionExactly AED 3 millionPasses, subject to the other conditions
An earlier relevant period reached AED 3.2 millionAED 1.8 millionFails because the threshold was previously exceeded
No earlier relevant period exceeded the limitAED 3.1 millionFails for the current period

These examples test revenue only. They do not establish residence, free zone status or entitlement to make an election. Use final figures for the relevant period and retain the calculation behind each year's conclusion.

How do you claim Small Business Relief through EmaraTax?

First complete Corporate Tax registration and obtain the relevant Tax Registration Number. Then make the Small Business Relief election in the return for the period concerned; it must be considered separately for each period.

The FTA's November 2024 Tax Returns guide places the election in the Elections part of the return. Earlier answers determine whether the question appears. Check the taxpayer details and revenue responses if the form behaves unexpectedly, rather than changing answers simply to reveal the option.

The relief guide states that a return submitted without the election cannot claim the benefit later for that period. Have the person responsible review the choice before submission, and save the filed return and acknowledgement.

Which tax periods are covered, and when is the return due?

Under Ministerial Decision No. 73 of 2023, the relief window covers periods starting on or after 1 June 2023 and ending on or before 31 December 2026. Eligibility follows the taxpayer's period, not the date they happen to submit the return.

The ordinary filing deadline is within nine months after the period ends, as reiterated in the FTA's September 2025 filing reminder. For a period ending 31 December 2025, that generally means 30 September 2026. Enter the company's actual year-end in its compliance calendar.

What records and other obligations remain?

A simplified return still needs reliable supporting records. Article 56 of the Corporate Tax Law requires relevant documents to be kept for seven years following the end of the period they concern.

Keep a file containing the revenue reconciliation, ledger, invoices, bank evidence, prior-period schedule and eligibility assessment. Record who checked the election and which documents support the conclusion.

Assess VAT separately. A business receiving Corporate Tax relief may still have VAT obligations. Likewise, reduced transfer-pricing documentation requirements do not remove the arm's-length principle for relevant transactions. Keep a clear explanation of related-party arrangements instead of assuming relief removes every compliance task.

Is choosing Small Business Relief always beneficial?

Consider future tax attributes alongside immediate compliance savings. A tax loss incurred in a period for which relief is elected cannot be carried forward. Unused losses from earlier periods without an election may remain available for later periods in which relief is not elected, subject to the applicable conditions.

For a business making substantial start-up losses, compare electing with filing under the ordinary rules. The former can simplify the period's return, while the latter may preserve a qualifying loss for future use. Ask for a documented comparison, including the cost of preparing the fuller return.

What should a business check before submitting its election?

Confirm residence, revenue history, excluded status, period dates and the effect on losses. Have someone independent of the initial preparation check the figures against the ledger and the final return.

Do not artificially divide one business between entities to keep each below the threshold. Ministerial Decision No. 73 addresses arrangements involving substantially the same business and their financial, economic and organisational links.
